Welcome to Nexurio Labs (“Nexurio,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Nexurio platform, website, and related services (collectively, the “Service”).

By accessing or using Nexurio, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of the Service

Nexurio Labs provides access to a business automation and management platform that allows users to build funnels, manage contacts, automate workflows, and use messaging and related services.

Nexurio is an independent platform that operates on third-party infrastructure. Nexurio is not affiliated with, endorsed by, or owned by GoHighLevel or any of its related entities.

3. Eligibility

You must be at least 18 years old to use the Service. By using Nexurio, you represent that you are legally capable of entering into a binding agreement.

4. Account Registration

To use Nexurio, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and all activity under your account.

Nexurio is not responsible for unauthorized access caused by your failure to secure your login information.

5. Subscription & Payments

5.1 Nexurio Core Subscription

Nexurio offers a core subscription (“Nexurio Core”) billed on an annual basis. This subscription provides access to the platform features as described on our website.

Subscription fees are non-refundable, except where required by law.

5.2 Wallet & Usage-Based Services

Certain services (including but not limited to email, SMS, phone numbers, and advanced features) are billed on a prepaid, usage-based model through the Nexurio Wallet.

• Wallet credits must be added in advance.

• Usage deducts automatically from the wallet balance.

• When the wallet balance reaches ₱0, usage-based services may pause automatically.

• Wallet credits do not expire, unless otherwise stated.

All wallet top-ups are final and non-refundable.

5.3 Manual Payments

Nexurio may accept manual payment methods. Wallet credits or subscriptions will only be applied after payment has been verified by Nexurio.

6. Third-Party Services

Nexurio relies on third-party providers to deliver certain functionalities (such as messaging, telephony, and infrastructure).

Nexurio is not responsible for:

• Downtime or service interruptions caused by third-party providers

• Changes in third-party pricing or availability

• Content or data handled by third-party services

7. Acceptable Use

You agree not to use Nexurio for:

• Illegal, fraudulent, or abusive activities

• Spam, unsolicited messaging, or phishing

• Violations of data protection or privacy laws

• Infringement of intellectual property rights

• Harassment, hate speech, or harmful conduct

Nexurio reserves the right to suspend or terminate accounts that violate these Terms.

8. Data & Content Responsibility

You are solely responsible for:

• All content uploaded or sent using Nexurio

• Compliance with applicable laws (including messaging and data protection laws)

• Obtaining proper consent from recipients of communications

Nexurio does not monitor or pre-approve user content.

9. Intellectual Property

All Nexurio branding, software, content, and materials are the intellectual property of Nexurio Labs or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You may not copy, resell, reverse engineer, or redistribute Nexurio without written permission.

10. Termination

You may cancel your subscription at any time. Access will remain active until the end of the paid period.

Nexurio may suspend or terminate your access at any time for:

• Violations of these Terms

• Abuse of the Service

• Legal or security reasons

No refunds will be issued upon termination.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available”.

Nexurio makes no warranties regarding:

• Uptime or availability

• Fitness for a particular purpose

• Error-free operation

• Results obtained from using the Service

12. Limitation of Liability

To the maximum extent permitted by law, Nexurio Labs shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

Nexurio’s total liability shall not exceed the amount paid by you to Nexurio in the preceding 12 months.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
